Governance and Compliance at GOL

The Executive Board of Corporate Risks, Compliance, and Internal Controls has the mission of establishing corporate principles and standards, providing information that assists in decision-making and effectively contributes to the preservation of value through proper risk management and a robust system of internal controls. In other words, it is responsible for serving and guiding the other areas of the Company, especially those with a greater operational focus and that present higher risk.

GOL conducts its business always aligned with best corporate governance practices, considering the highest national and international standards.

Thus, in its activities, we base ourselves on the three lines of defense governance model, with areas involved in management, monitoring, and support activities, through the integration of the areas of Corporate Risks, Compliance, Internal Controls, and Privacy.

The RIGHT PATH – Ethics and Compliance program operates across all areas of the Company, and its success depends on the engagement of all members, who must act in accordance with our Values ​​and contribute to the implementation of the necessary measures to ensure its effectiveness.


The Compliance area

The Compliance area is primarily responsible for managing the RIGHT PATH – Ethics and Compliance program. In this context, it also has the function of bringing issues related to Ethics and Conduct to the Ethics Committee, which will make the decision.

The Compliance area is independent, composed of qualified professionals, and dedicated exclusively to the coordination, development, and improvement of the Program, which is implemented and developed daily by all areas of the Company. To ensure the necessary autonomy and independence, the Compliance area's management reports directly to the CEO, having direct access to the Statutory Audit Committee and the Board of Directors.
